We assist clients by providing the following services:
- Structure secured transactions and review and analyze collateral used in transactions including acquisition loans, mezzanine financings, term and revolving credit facilities, working capital loans, mortgage warehousing loans, senior and subordinated debt instruments, project financing, asset securitization transactions and real estate financing transactions
- Regularly prepare and negotiate security interest legal opinions with and for other counsel
- Experience in all types of personal property matters, including property subject to the UCC, as well as property subject to other statutes, such as intellectual property, government contracts, various derivatives, insurance, aircraft, ships and railroad rolling stock
- Extensive experience in negotiating intercreditor agreements, subordination agreements and security documents and in the creation and perfection of liens and security interests in all manner of collateral under the Uniform Commercial Code and other applicable state and federal laws governing secured transactions (including security interests in intellectual property, in non-UCC collateral and in aircraft, ships and other collateral governed by federal law)
